Job Description

Company Secretarial Compliance
Ensure statutory compliances under Companies Act 2013, FEMA regulations, and other corporate laws.
Manage and drive the web-based compliance tool, including FC-GPR, FCTRS, and Annual Return on Foreign Liability & Assets.
Preparation of resolutions, notices, agenda, secretarial standard compliances, and minutes for board, committee, and shareholder meetings.
Ensure effective implementation of Board decisions and policies.
Assist in the preparation of the Annual Report and conduct of general meetings/postal ballots.
Coordinate with Statutory and Regulatory Authorities (ROC, RBI, MCA) and handle regulatory audits & inspections.
Track, interpret, and implement circulars & regulations from MCA, Depositories & RBI, and communicate updates to relevant teams.
Ensure timely and accurate regulatory filings.
Maintain and update statutory registers and records for all group companies.
Streamline and improve compliance and operational processes.
Handle any other secretarial matters as assigned.
Corporate Social Responsibility (CSR)
Identify suitable CSR projects and propose spending plans.
Implement and monitor approved CSR activities and expenditures.
Legal Affairs
Manage, monitor, and resolve pending litigations & legal disputes.
Provide strategic legal advice and support to senior management.
Ensure compliance with applicable laws and regulations.
Review and negotiate contracts, agreements, and legal documents with customers, suppliers, and partners.
Liaise with government bodies & regulatory agencies on legal and compliance matters.
